These terms and conditions are the terms and conditions of SILK ROAD SIGNAL LLC (“Company”, “we” or “us”), a company incorporated under the laws of the Republic of Armenia (Reg. No: 77.110.1321120), with its registered office at 2/1 Sarmen 1st Street, 2/1, Kentron, 0009 Yerevan, Republic of Armenia. The Company provides the service (“Cash4SMS Service”, “Service”) as a solution for sending SMS messages supported by Cash4SMS application (“Cash4SMS Application”, “Application”).
These terms of use (“Terms”) allow you (“You”, “User”) to use our website (the “Website”, “Service”), our online services, and to receive money for sending text messages.
If you do not agree to these Terms and refuse to enter into a contract with the Company, you are not bound by these Terms and you are not required to register your account, therefore, you may not use our Service.
You may not accept these Terms and Conditions and enter into a contract with the Company if you are under 18 years of age.
Cash4SMS Application (or Application) means a developed program that can be downloaded on the User’s Android device (smartphone) to send text messages to certain cell phone numbers operated by SILK ROAD SIGNAL LLC and/or its partners.
User means you and any other person who is legally authorized to enter into this agreement and register with the Service, using it in accordance with the functionality provided.
Cash4SMS Service (or Service) means the Cash4SMS software package, which includes a mobile application, website and other software tools that allow the User(s) registered in the Service to send text messages to certain cell phone numbers operated by SILK ROAD SIGNAL LLC and/or its partners, as well as to perform other actions provided by the Company in the Service infrastructure.
Local SMS – a feature that allows you to use the Customer’s SMS service to send service-related messages to recipients within the same country. These messages are intended to deliver important content from service providers. For using Cash4SMS service, the Company undertakes to pay monthly compensation for each SMS sent by the User.
Payment means the fee paid to Cash4SMS User for text messages sent from User’s device to Cash4SMS mobile numbers.
Payout Rate means the amount of money paid to the User for each text message sent from the User’s device to Cash4SMS mobile numbers and which is automatically calculated by this Application.
The Cash4SMS application shall be downloaded by the User on his/her Android device to send a predetermined number of text messages on a monthly basis to certain European cell phone numbers operated by SILK ROAD SIGNAL LLC and/or its partners, within the current tariff plan of the mobile operator whose SIM card is used in the User’s device. Remuneration from Cash4SMS will be paid for each SMS sent in this way.
These Terms and Conditions are a legally binding document and agreement governing the relationship between the User and the Company arising from the use of the Service when the User sends text messages.
ACCOUNT AND REGISTRATION PROCEDURE
Once the User has downloaded and installed the App on their Android device, the User can launch the App and register an account by providing their name, date of birth and country of residence.
At the same time, the Application automatically detects and memorizes the User’s phone number, which is planned to be used subsequently in the Service, including the purposes of communication with the User, such as possible calls, sending SMS (e.g. marketing and/or advertising notifications with the User’s consent and/or within the framework of applicable law), PUSH notifications, etc.
After entering the registration information, the mobile Application connects to the Cash4SMS Service server and transmits the User’s registration data to it, as well as tries to send several test SMS messages from the User’s device to “test” mobile numbers of Cash4SMS network. Accordingly, such messages will be charged by the User’s mobile operator in accordance with the current tariff plan.
If the test messages are successfully delivered, the User’s registration will be completed and the User will be notified that he/she can successfully start using the Service.
If the delivery of test messages fails, the User will still be registered by the system, but will be notified that the Service is not available at the moment. In this case the User will also be notified that the Application will regularly (monthly) continue sending test SMS messages in the background while the User is authorized. In this case, the messages will be charged by the User’s mobile operator in accordance with the current tariff plan. As soon as the test results are successful, the Application will notify the User thereof, as well as the availability of the Service for the User.
On the other hand, the Local SMS service is available globally, but its availability and frequency may vary by country and Customer account at any given time depending on current demand. The Company reserves the right to change or discontinue the availability of this service for any country or Customer at any time without prior notice. Participation in the Local SMS service is subject to the Customer’s acceptance of these Terms of Use and the Customer acknowledges that the provision of the service may be irregular or intermittent.
Important: The Client clearly understands that the use of the service does not constitute the provision of the service by the Client to the Company. The Company reserves full control and responsibility for the operation of the service. The Client’s role is limited to providing authorization to use its SMS service for messaging as described, without any additional obligations or provision of services on its part.
By participating in this service, the Customer agrees to the use of its SMS service for the specified purposes and agrees to receive compensation on the terms and conditions set out in these Terms and Conditions. The Customer also understands that the provision of this service does not entail any additional costs beyond the standard use of its SMS service.
We reserve the right, in our sole discretion, to decide whether to open a User account, including when required or recommended by applicable governmental, regulatory, or law enforcement requirements.
The Service is to be used exclusively by registered profile owners. You agree that the information you provide to us as part of the account creation process and any subsequent identification/verification procedures is accurate and complete and will be updated as necessary and as available.
You must provide a valid cell phone number to be able to use our Service. You agree to receive SMS/text messages from us as part of using the Service and communicating with you. We do not charge for SMS/text messages. Standard rates for messaging via mobile devices may apply from your mobile carrier. Failure to provide a valid cell phone number may result in restrictions on your use of the Service. If we suspect that your cell phone number is unavailable/invalid or you use a VOIP service to circumvent this requirement, we may suspend or otherwise restrict your use of the Service.
You consent to receive important informational messages from Cash4SMS via email.
You are responsible for ensuring that the personal information in your profile (User account on the Service) is current, true and accurate, including your e-mail address and cell phone number (if required by these Terms).
You are also responsible for maintaining an appropriate level of security, control and confidentiality of your profile information, including any personal information, identification numbers (PINs), passwords or other sensitive data associated with your profile, and for performing any actions on that profile.

You are responsible for (i) notifying us immediately of any unauthorized use of your password or profile or any other breach of security, and (ii) ensuring that you log out of your profile at the end of each session when using the Service.
We will not be liable for any loss incurred by you as a result of your failure to comply with the instructions set out in this section or any notices or warnings sent by us.
After successful registration the User will be able to set SMS sending parameters, specifying how many text messages can be sent by Cash4SMS Application per day or per month from the User’s device. If the number of text messages is specified per month, this number will be proportionally distributed by days of the month.
IMPORTANT: Cash4SMS application will independently notify you of your tariff for each text message sent from your device to Cash4SMS numbers. This means that you will not be able to choose your own tariff settings. Please see the “FEES” section below for more information.
The user can stop sending text messages at any time, as well as change the SMS sending parameters (except for the tariff as mentioned above).
Similarly, SMS will be automatically terminated if text messages have been sent but not delivered to Cash4SMS mobile numbers for any reason. The user will receive the corresponding notification about it, and the Cash4SMS Application will go into the test mode. At that, the User will also be informed that the Application regularly (monthly) continues sending test SMS messages in the background mode as long as the User is authorized. In this case the messages will be charged by the User’s mobile operator in accordance with the current supported tariff plan. As soon as the test results are successful, the Application will notify the User about it, as well as about the availability of the Service for the User from that moment.
The Cash4SMS Application generates the content of text messages sent from the User’s device, which consists of two parts: (I) the User’s phone number (in E.164 format) registered by the User in the Cash4SMS Application, and (II) the User’s unique confirmation code randomly generated by Cash4SMS, as shown in the following examples:

By checking the “I agree to these Terms of Use” box, you, among other terms and conditions stated herein, acknowledge the content and intended recipients of the text messages, namely: You expressly authorize and confirm the content of the text messages, which consists of your phone number and confirmation code as described above, and which are generated by the Cash4SMS Application and sent only to the list of virtual number ranges listed below, managed exclusively by Cash4SMS.

The specified numbers are not allocated to subscribers (end users), but are bound to Cash4SMS servers acting as recipients of text messages sent by Cash4SMS Applications, and are used by Cash4SMS only for interaction with Cash4SMS Applications installed on Users’ phones.
Having started sending SMS in accordance with the specified parameters, the User starts Cash4SMS application and further can see the amounts of payments that will be charged by Cash4SMS service for each message sent and successfully delivered to Cash4SMS mobile numbers.
SMS messages will be sent in the background in accordance with the parameters selected and configured by the User, charged by the User’s mobile operator in accordance with the currently supported tariff plan.
The Cash4SMS application independently notifies the User of his/her payout ratio set by the Cash4SMS Service for each text message sent from the User’s device to Cash4SMS phone numbers, without allowing the User to choose the payout ratio.
Cash4SMS Service may unilaterally change the User’s Payment Tariff by notifying the User of such change on the day of tariff change. SMS sending will be suspended until the User confirms the updated tariff.
The user can view the statistics of sent messages in the application.
The payout assigned to the User will be calculated every 1st day of the month based on the number of sent text messages for the previous month.
Payment of the calculated funds shall be made on the same day by the payment method specified (if any) by the User in the Cash4SMS Application. If the payment details have not been specified or have been specified incorrectly and the payment cannot be made, the User may change their payment details and make an iterative request for payment. In this case, Cash4SMS Service is not responsible for payments in favor of another or third party, already made by the User’s mistake.
The User bears full, sole and primary responsibility to the User’s mobile operator for text messages sent via Cash4SMS Application. The User is fully responsible for independently familiarizing himself/herself with the tariff plan of his/her mobile operator and making settlements with it on the basis of the current established tariffs.
Cash4SMS Service does not guarantee the permanence of the Payment Rates. You acknowledge and agree that Cash4SMS may unilaterally change the User’s Payment Rate by notifying the User of such change on the day of tariff change.
User uses our Service at User’s own risk, subject to, but not limited to, the disclaimers set forth in this Agreement.
Cash4SMS is not and cannot be responsible for the uninterrupted functioning and provision of services of the respective User’s mobile operator, connection or disconnection of the Internet, as well as for any consequences thereof or losses incurred.
Any services, data, tools on this Website are provided “as is”. We have no obligation to update the information on the Website. To the fullest extent permitted by law, we make no express or implied warranties accuracy, compatibility, reliability, integrity, security, usefulness of our Website.
While we use reasonable efforts to ensure that the Website is secure and free of bugs, viruses and other malware, we make no warranties in this regard. Users assume responsibility for their own security, the security of their personal data and their computers, and for any other potential or apparent risks. You agree to notify us immediately of any unauthorized access to your account or any other breach of security via the email address provided in these Terms.
We are not responsible for any errors or omissions made by you in relation to any communication sent through the App.
We are not an intermediary, representative or other person involved in text messaging on your side or on the side of any user.
By agreeing to these Terms and Conditions, we may recommend assistance in installing the Cash4SMS App if necessary, but you are solely responsible for that installation as well as its use.
Any information provided by us is for general information purposes only. You are solely responsible for any actions taken through the Service.
We may utilize the resources of other third parties (e.g., service providers, contractors, partners) to provide our services.
This website and applications may contain links to third party web sites owned or operated by those parties other than us. Such links are provided for reference purposes only.
We do not control external websites and are not responsible for their content. Use of such links does not imply endorsement of the materials or, unless explicitly stated otherwise, sponsorship, affiliation or association with their owner, operator or sponsor.
Any use of third-party trade names, trademarks, logos, legal or official symbols means that their use is copyrighted and is done legally or with the permission of the owner.
We reserve all rights, including copyrights to trademarks, individualization tools, patents and other intellectual property rights used in the Cash4SMS service, as well as all content used in the Cash4SMS service, including our trademarks, service marks, designs, designs, logos, URLs and trade names displayed on our Service. 1. Attempt to gain unauthorized access to our Service or another User’s profile.
2. circumvent or attempt to circumvent established prohibitions and/or restrictions.
3. violate any law, statute, ordinance, regulation, ordinance or rule.
4. use our Service for any purpose other than as authorized by these Terms.
5. Participate in activities that are offensive, interfere with or disrupt the provision of our services.
6. Use the Cash4SMS Service in a manner that causes complaints by internet service providers or telecommunications companies about your use, or that violates industry standards, policies, and applicable guidelines of any telecommunications associations.
7. Launch or facilitate, intentionally or unintentionally, denial of service (DDoS) attacks on the Service or otherwise affect the availability, reliability or stability of the Cash4SMS Service.
8. Transmit any material containing viruses, trojans, spyware, worms or other malicious, harmful or dangerous programs.
If your access to the Service is blocked (including blocking your IP address), you agree not to take any steps to circumvent such blocking (e.g., by hiding your IP address or using a proxy IP address).
Use of our Service in connection with any activity involving illegal products or services is prohibited.
We reserve the right to temporarily or permanently suspend access to your account or otherwise restrict your use of the Cash4SMS Service if a violation of this section is discovered.
We make every effort to ensure the security of the Cash4SMS Service. To achieve this goal you undertake to:
You agree to indemnify and hold harmless our Company, our employees, agents, consultants, subsidiaries, partners, affiliates and their respective successors, affiliates and licensors from and against any claims, costs, damages, losses, liabilities, proceedings and related expenses (including attorneys’ fees, etc.) arising out of or in any way related to your use of our Service, violation of these Terms (including Company Policies) or the rights of any other person.
In no event shall our Company, our licensors, service providers or subcontractors be liable for any indirect, special, incidental or consequential penalties or damages (including, but not limited to, lost profits, loss of data, etc.) arising out of the performance of these Terms or the operation of the Service.
If you are a resident of a country whose jurisdiction does not permit disclaimers of warranties and representations and limitations of liability, our liability will be limited to the maximum extent permitted by law.
In the event that any provision in these Terms is held invalid, illegal or unenforceable in any jurisdiction, such provision shall be valid and enforced to the extent permitted by applicable law and without prejudice to the validity, legality and enforceability of the other provisions of these Terms remaining in full force and effect. The invalidity of a particular provision in a particular jurisdiction will not invalidate such provision in another jurisdiction.
You and the Company agree to resolve any disputes arising out of these Terms by negotiation. This condition may be violated if you identify alleged misuse of copyrights, trademarks, trade names, logos, trade secrets or patents.
You and the Company agree to notify each other in writing of any disputes within thirty (30) days of their occurrence.

(b) that any arbitration or legal proceedings will take place in the Republic of Armenia, in the Armenian language and subject to the laws of the Republic of Armenia;
(c) that the arbitration will be conducted confidentially by a single arbitrator who is legally trained, experienced in telecommunications and information technology and independent of either party.
The relationship between you and the Company under these Terms will be construed, governed and administered in accordance with the laws of the Republic of Armenia without regard to its choice of law principles.
Nothing in these Terms is intended or shall be construed to create a partnership between you and us, nor shall either party act as an agent for the other party, nor shall either party be authorized to act on behalf of the other party.
All provisions of these Terms, which by their nature should survive termination, will continue in effect, including, but not limited to, the Intellectual Property, Disclaimer, Indemnification and Limitation of Liability provisions.
Subject to these Terms, we grant you a limited, non-exclusive and non-transferable license to access and use Cash4SMS content for your personal use. This license will automatically terminate if we suspend or terminate your access to the Service, or if these Terms are terminated by either party. Such license is granted subject to the terms of these Terms and does not permit any further resale, transfer, distribution, public display, modification and/or any derivative use of the Cash4SMS Content or any portion thereof for any purpose other than as provided.
These Terms may be terminated (i) by you at any time upon providing written notice to the Service at least ten (10) business days prior to the termination date and/or (ii) by the Service at any time for any reason, including breach of these Terms.
You may not use, copy or republish anything on our site without our permission. We reserve all rights not expressly granted in these Terms and Conditions.
We may transfer the rights and obligations arising under these Terms to our parent, affiliate or subsidiary, or in connection with a reorganization, merger, consolidation or sale or other disposition of all or substantially all of our assets.
These Terms constitute the complete and exclusive agreement between User and Company with respect to the subject matter hereof and supersede any prior written or oral agreements, warranties, representations or interpretations with respect to the subject matter hereof.
These Terms may be changed or updated from time to time as necessary. It is the User’s responsibility to read any modified or updated version of the Terms posted on our Website. The provisions of updated versions shall apply from the date of posting unless otherwise expressly stated.
